These Terms of Service apply to the website at www.inspxt.autos and to services provided by Inspxt LLC, registered at 853 W 760 N, Highland - 84003-3915, United States (US). Please read them before using the site or engaging the consultancy. By using this website you accept these terms.
1. Acceptance of Terms
By accessing this website, submitting a form or engaging Inspxt LLC for inspection and metrology work, you agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use the website or the services. These terms apply to every visitor, client and party that interacts with the consultancy.
Where a signed engagement agreement exists between Inspxt LLC and a client, that agreement takes precedence over these terms for the work it covers. These terms fill the gaps and govern the use of the website in all cases. You should read them alongside the Privacy Policy, which explains how we handle personal information, because the two documents work together to describe our relationship with you.
By continuing to browse, you confirm that you have the legal capacity to enter into these terms and that you are using the website for a lawful purpose. If you are accepting on behalf of an organization, you confirm that you have authority to bind that organization to these terms. A failure to enforce any part of these terms on one occasion does not waive our right to enforce it later.
2. Description of Services
Inspxt LLC provides precision inspection, dimensional verification, gauge calibration management, acceptance test procedure development, first article inspection, supplier quality auditing and metrology training and support. Each service is delivered by qualified personnel using calibrated equipment and documented methods.
The content of this website describes our services for general information. It does not constitute engineering advice for a specific part or process until a written engagement defines the scope, the deliverables and the acceptance criteria.
The services are offered to businesses and professional organizations. We may decline a request for work that falls outside our competence, that cannot be delivered to a professional standard within the requested time, or that would create a conflict with an existing client. Declining work is part of maintaining the integrity of the bench, and it is better for everyone than accepting a job that cannot be done well.
3. Engagement and Agreements
Inspection work begins only after the parties agree on a statement of work. The statement of work identifies the parts or processes to be inspected, the standards that apply, the deliverables and the schedule. No verbal request creates a binding obligation to perform work beyond the good faith effort to prepare a quotation.
Once a statement of work is accepted, both parties are expected to perform their obligations professionally. Changes to scope must be agreed in writing before the affected work is performed, so that the schedule and the fees remain clear.
A statement of work typically names the parts or features to be inspected, the drawing revision that governs the acceptance criteria, the instruments and methods to be used, the format of the report and the personnel who will sign the record. It may also identify a point of contact on each side and a channel for technical questions that arise during the work. Clarity at this stage is what allows the bench to move quickly later without ambiguity.
A quotation is valid for the period stated on it, and it is based on the information available at the time it was prepared. If the parts, the drawings or the quantity change, the quotation may be revised before the work proceeds. We would rather re-quote than deliver a result that does not match what the client actually needed.
4. Client Responsibilities
A client is responsible for providing accurate drawings, specifications and part data, for making the parts available in a suitable condition, and for disclosing any condition that could affect a measurement. A measurement performed on a part that was mislabeled or contaminated may be correct for the condition measured and wrong for the intent of the client.
The client is also responsible for providing safe access to its facility when an audit or an on site inspection is performed. Safe access includes a working environment free of hazards that have not been disclosed. Inspxt LLC may pause or decline work that cannot be performed safely.
The client must have the right to share any drawing or specification it provides. By submitting material, the client confirms that sharing it with Inspxt LLC does not violate a third party right.
Timely cooperation is a shared responsibility. When the client responds to questions, provides the parts and confirms the acceptance criteria without delay, the inspection moves quickly and the cost stays predictable. When those steps are delayed, the schedule slips and the bench may have to be reorganized, which affects other work as well. We will always communicate a delay as soon as it becomes visible so that the client can plan around it.
5. Fees and Payment
Fees for inspection and metrology work are set out in the quotation or the statement of work. Unless the agreement states otherwise, invoices are payable within the period stated on the invoice, and work may be scheduled against a deposit for larger engagements.
Expenses such as travel for an on site audit or shipping for a part are billed at cost or as an agreed allowance, and they are identified in the quotation wherever possible. Late payment may pause scheduled work, and the client will be told before any pause takes effect.
All fees are stated in United States dollars unless the quotation says otherwise. Taxes that apply are the responsibility of the client where the law places them on the client.
We keep billing simple and transparent. An invoice states the work performed, the period it covers and the amount due, and it references the statement of work so the charge can be traced to an agreed scope. If a client believes an invoice is incorrect, we ask that it be raised promptly so that we can review the record together and correct any genuine error.
6. Scheduling and Access
Inspection capacity on the bench is finite, and scheduling is confirmed once the scope and the parts are ready. We will tell a client honestly when a requested date cannot be met rather than accept work that cannot be done properly. A part measured in a rush is a risk that no quality system benefits from.
When a client must reschedule, prompt notice allows the bench to be reassigned. Repeated late changes may affect the schedule for other work, and we reserve the right to adjust the plan where a change makes the original commitment impossible.
On site work, such as a supplier audit or a calibration review at a client facility, requires a confirmed appointment, a named host and a safe working environment. We will agree the duration ahead of time and will adjust the plan if the site conditions differ materially from what was described. The goal is always a complete audit rather than a rushed walk through.
7. Measurement Accuracy and Limits
We measure using calibrated equipment and documented methods, and our reports carry the instrument and calibration status relevant to the result. Even so, every measurement carries an uncertainty, and a reported value should be read together with that uncertainty. A number without its uncertainty is an incomplete answer.
Inspxt LLC performs inspection and testing as a professional service. We do not guarantee that a manufacturing process will achieve a tolerance, or that a design will function as intended. We report what the measurement shows, and the process decision remains with the client.
Where a result is close to a tolerance limit, our report will say so plainly. The client can then decide how to act with full knowledge of where the part sits relative to the specification.
Temperature, handling and fixture choice all influence a measurement, and we control those factors to the extent the work requires. A part measured at one temperature and assembled at another can behave differently, and our reports note the conditions so that the client can account for them. We explain these effects in plain terms so that the record is useful to the people who act on it.
8. Reports and Records
Inspection reports, first article layouts and acceptance test records are prepared for the client named in the engagement. They describe the parts, the features, the instrument used and the values observed. The format is agreed at the start so that the record matches what the client quality system requires.
Reports are issued for the specific parts and conditions measured. Reusing a report for a different lot, a different revision or a different process is not valid and is not authorised. Each result belongs to the measurement it came from.
We retain records for the period described in our Privacy Policy and as the client agreement requires, so that a question arising later can be answered from the source.
A report is signed by the person who performed or reviewed the work, and each signature carries a responsibility for the integrity of the result. If a typographical error is found after delivery, we will issue a corrected report that references the original, so the client always holds the current version and the history remains clear.
9. Intellectual Property
The text, layout, code and visual design of this website belong to Inspxt LLC and are protected by applicable intellectual property law. You may read and share a link to the website, but you may not copy its content for commercial use without written permission.
Drawings and specifications provided by a client remain the property of the client. Inspxt LLC receives them only to perform the agreed work. Our own methods, templates and internal procedures remain the property of Inspxt LLC even when they are applied to a client project.
You may not present our reports as your own original work or alter a report in a way that changes its meaning. A report may be shared with your customers and auditors as part of your own quality documentation, provided it is shared whole and unaltered. Where a report is reproduced, we ask that it be attributed to Inspxt LLC so that the source of the measurement remains traceable.
10. Confidentiality
We treat client drawings, specifications, process data and business information as confidential. We do not disclose them to another client, and we limit access to the people who need it for the work. This obligation continues after an engagement ends.
Confidentiality does not cover information that is already public, information that a client authorises us to share, or information we are legally required to disclose. If a legal demand compels disclosure, we will give the client notice where the law allows so that the client can respond.
Our personnel are bound by this obligation as a condition of their work with the consultancy. When a project ends, the obligation continues, and we keep confidential material out of casual conversation and away from any public channel. We treat the drawings on our bench as the property of the client and the details of the measurement as a private matter between us and the client.
11. Acceptable Use of the Website
You agree to use this website lawfully and respectfully. You must not attempt to disrupt the site, gain unauthorised access to its systems, submit false information through the contact form, or use automated tools to scrape content at a volume that burdens the service.
You must not use the website to send unlawful, misleading or harmful material. We reserve the right to block access where the site is used in a manner that threatens its operation or the rights of others.
The contact form on this site exists so that a genuine enquiry can reach the bench. Using it to send advertising, automated bulk messages or content unrelated to our services is not permitted. We read every legitimate enquiry and reply to it, and protecting that channel keeps the service useful to the people who depend on it.
12. Disclaimer of Warranties
This website is provided on an as available basis. While we work to keep the content accurate and the site available, we do not warrant that the site will be uninterrupted or free of error, or that the content is complete for every purpose.
To the fullest extent the law permits, Inspxt LLC disclaims implied warranties relating to the website. Warranties relating to inspection services are limited to those expressly stated in a written engagement agreement. Nothing in these terms excludes a warranty that cannot lawfully be excluded.
We make a good faith effort to keep the website content current, but service descriptions and availability may change. A description on this website does not create a promise to perform work on particular terms. The binding commitments are the ones written into a signed engagement agreement, and those are the terms we stand behind.
13. Limitation of Liability
To the fullest extent the law permits, Inspxt LLC is not liable for indirect, incidental, special or consequential damages arising from the use of this website or from services, including lost profits, lost production or business interruption, even if we were advised that such damage was possible.
Where liability for inspection services cannot be excluded, it is limited to the fees paid for the specific work that gave rise to the claim. This limit reflects the scope of the engagement and the measured risk the parties accepted when the work began.
Our reports describe the condition of the parts measured at the time of measurement. They are not a guarantee of future performance, of a manufacturing process, or of the fitness of a design for a particular use. A client that relies on a report for a purpose beyond the inspection it describes does so at its own risk, and we encourage clients to tell us the intended use so that our scope can match it.
14. Indemnification
You agree to indemnify and hold Inspxt LLC harmless from claims, losses and costs that arise from your misuse of this website, from material you submit that you did not have the right to share, or from your breach of these terms.
This obligation does not apply to the extent that a claim results from the negligence or wilful misconduct of Inspxt LLC. Each party bears responsibility for its own conduct, and this section is intended to reflect that balance.
If a third party brings a claim against either party arising from the other party conduct, the responsible party will provide reasonable cooperation in the defence. Cooperation includes providing relevant records and making personnel available for interview, subject to the confidentiality obligations that continue to protect client material.
15. Termination
Either party may end an engagement as the written agreement allows. Where no agreement addresses it, a party may end the work with reasonable written notice. Fees for work already performed remain payable, and records already delivered remain the client property.
We may restrict access to this website at any time if these terms are breached. Termination of access does not affect the validity of obligations that by their nature survive, such as confidentiality and payment for completed work.
Where an engagement ends before the scheduled work is complete, we will deliver the records produced up to that point and account for the fees that relate to them. A clean ending with complete records is preferable to an ambiguous one, because the client may still need the evidence for its own quality system.
16. Force Majeure
Neither party is liable for a delay caused by an event beyond its reasonable control. Events of this kind include natural disaster, severe weather, failure of a utility, an act of government, a public health emergency or another circumstance that makes performance impractical.
The affected party will notify the other promptly and will resume performance as soon as it is reasonably able. If the event continues for an extended period, either party may end the affected work without penalty, and fees will be settled for what was actually performed.
While a force majeure event is ongoing, the parties will communicate openly about the likely timeline and any steps that could reduce the impact. We would rather agree a revised plan together than leave a schedule in doubt, and we will document any change to the engagement in writing.
17. Governing Law
These terms are governed by the laws of the State of Utah in the United States, without regard to conflict of law rules. The courts located in Utah have jurisdiction over disputes arising from these terms, unless a written engagement agreement provides otherwise.
Before beginning formal proceedings, the parties agree to attempt a good faith resolution through direct discussion. A short conversation often resolves a disagreement faster and at lower cost than a filing, and it is our preferred first step.
If a dispute cannot be resolved through discussion, the parties may agree to mediation before pursuing litigation. Mediation is not a requirement, but it is a sensible option for a commercial disagreement where both sides value the working relationship. The aim is to preserve a productive relationship wherever the facts allow it.
18. Changes to These Terms
We may update these terms from time to time to reflect changes in our services or in the law. When we make a material change we will revise the effective information on this page. Continued use of the website after an update means that you accept the revised terms.
If a change is significant and affects an active engagement, we will raise it directly with the client rather than rely on a silent website update. Existing written agreements continue to govern the work they cover until they are amended by both parties.
We date each revision of these terms so that a reader can tell which version applies. The version in effect when an engagement begins continues to apply to that engagement unless the parties agree otherwise in writing. A later revision governs new engagements and the continued use of the website.

If any provision of these terms is found to be unenforceable, the remaining provisions stay in effect, and the unenforceable part is read as narrowly as possible to give it effect. These terms, together with any engagement agreement, form the complete understanding between the parties.
These terms were prepared for a professional inspection consultancy and reflect the way we actually work. We would rather explain them than hide behind them, so if a clause seems unclear or unfair, please raise it with us. An honest question about the terms is always welcome, and we will answer it directly.
